Ukrnafta is switching to a collegial management model

Ukrnafta’s shareholders approved a new version of the company’s charter, which provides for the transition from sole management by the director to a collegial board. About this reported press service of Ukrnafta.

At the same time, a decision was made to change the type and rename the company to joint-stock company “Ukrnafta”, initiated by its shareholders – Naftogaz and the Ministry of Defense.

The project of the updated charter was prepared by the supervisory board, which consists mainly of independent directors with international experience. According to the new charter, management decisions will now be made not by one person, but by a team of managers.

The document also establishes a clear division of powers between management bodies: the general meeting of shareholders, the supervisory board and the board; expands the powers of the supervisory board, which corresponds to the principles of independent control; and also provides for compliance of the corporate governance system with OECD standards and EBRD recommendations.

“The new version of the charter of JSC “Ukrnafta” is another important step towards the implementation of the best global practices of corporate governance in the company”, – commented acting director Yuriy Tkachuk.

It is also noted that in 2026 the company plans to build 420 MW of gas generation and implement a large-scale CCHP project — combined production of electricity, heat and cold from one source.
